1. Acceptance of Terms

By accessing, browsing or using the Service you acknowledge that you have read, understood and agree to be legally bound by these Terms. They apply to visitors, registered investors, sponsors / sellers and other users.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. The Service is intended for professional / business users (investors, developers, asset owners and advisers). By using it you represent that you meet these requirements.

3. Nature of the Service — no offer of securities

EnergyInfra is a European renewables and energy-storage desk: a public project book, investor registration and KYC, gated virtual data rooms, and sponsor project files. Content is for general information about development, finance and exit processes.

Nothing on the Service is an offer to sell securities, investment advice, a recommendation to buy or sell, or a commitment to transact. Capacities, dates and statuses are desk estimates. Where a price is unknown it may be shown as “Price on request”. Market figures are seeded methodology snapshots, not live TSO / ENTSO-E feeds.

4. Accounts and access

• Investors register and may later complete KYC. Data-room access is granted only after desk review. Sharing credentials is prohibited.
• Sponsors / sellers open company and project files under separate authentication. You are responsible for the accuracy of materials you upload.
• Platform operator console is a separate product. Investor logins cannot open it.

Project-level confidentiality is governed by our NDA / non-circumvention notice and by any click-accept NDA stored for a named project.

5. Intellectual property

All content, features and functionality on the Service — including text, graphics, logos, software, research materials, templates, methodologies and compilations — are owned by Assecurit Ltd or its licensors and protected by copyright, trade mark and other IP laws.

You may view materials for your internal professional evaluation of a potential financing or exit. You may not copy, scrape, republish or commercially exploit the book, VDR contents, or Assecurit’s know-how / show-how without our prior written consent.

6. Prohibited uses

You agree not to:

• use the Service unlawfully or in breach of these Terms;
• interfere with others’ use of the Service;
• introduce malware or attempt unauthorised access to systems or data;
• use robots, spiders or similar tools to monitor or copy the Service without permission;
• redistribute VDR or confidential materials, or circumvent access controls;
• misrepresent your identity, organisation or KYC information.

7. Third-party links and processors

The Service may link to third-party sites (for example public source URLs on project pages) or rely on processors (hosting, email, OAuth, optional AI). We do not control third-party sites and are not responsible for their content or practices. Processing of personal data is described in the Privacy Policy.

8. Disclaimers

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. We do not warrant that the Service will be uninterrupted, error-free, or that project information is complete or current.

Nothing in these Terms excludes liability that cannot be excluded under applicable law (including fraud or fraudulent misrepresentation, or death/personal injury caused by negligence, where such rules apply).

9. Limitation of liability

To the fullest extent permitted by applicable law, Assecurit Ltd and its directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, data, goodwill or other intangible losses, arising from: your use of or inability to use the Service; third-party conduct or content; content obtained from the Service; or unauthorised access to your transmissions or account.

10. Indemnification

You agree to defend, indemnify and hold harmless Assecurit Ltd and its affiliates, and their respective officers, directors, employees and agents, from claims, losses and expenses (including reasonable legal fees) arising out of your use of the Service, your materials, or your breach of these Terms.

11. Changes

We may modify these Terms at any time by posting an updated version on this page and revising the “Last updated” date. Continued use after changes constitutes acceptance of the revised Terms.

12. Governing law and jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes) arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, without prejudice to our right to seek interim or injunctive relief in any competent court.
